GENERAL CONDITIONS
These terms and conditions apply to all commercial flooring contracts with S. Smith & Sons Carpets Ltd (SSCL), unless otherwise agreed in writing.
By placing an order, approving our quotation, paying a deposit, or instructing us to commence work, you accept these terms.
No other terms or conditions shall apply unless expressly agreed in writing.

PRICES & VARIATIONS
All quotations are valid for 30 days from the date of issue.
Prices are subject to change if there are variations in labour, material costs, or legislative changes after the quotation date.
Variations or additional work not included in the quotation (e.g. out-of-hours working, changes in scope, incomplete or amended drawings) will be charged as extras. Quotes do not include preparation of drawings unless stated. Incomplete or missing finishing drawings may result in additional charges.

SITE CONDITIONS & ACCESS
Customers must ensure the site is accessible, safe, and ready for installation at the agreed time. Delays or abortive visits due to site inaccessibility or readiness may incur additional charges.
It is the customer’s responsibility to provide a structurally sound subfloor which also measures less than 75% relative humidity as per British Standards 8203. The Company cannot be held responsible for any consequential damage due to failure of the structure or the damp-proof membrane.
Customers must provide heating and ventilation appropriate to the flooring materials before, during, and after installation.
If no secure storage is available on-site, responsibility for materials passes to the customer upon delivery.
Customers are responsible for the protection of materials and completed works from damage by others once delivered or installed.

TITLE & RISK
Risk in the goods passes to the customer on delivery to site.
Title to the goods remains with SSCL until payment is received in full.

PAYMENT TERMS
Invoices will be issued based on goods delivered to site, goods stored but allocated to the project, and work completed to date.
Payment is due within 28 days of the date of invoice or application for payment. Late payments will attract interest at a rate of 2.5% per month, in line with the Late Payment of Commercial Debts (Interest) Act.
We reserve the right to suspend or terminate work for non-payment without liability for resulting costs or delays.
Staged payments may be required on larger contracts and will be set out in the quotation or order confirmation.

DELAYS & FORCE MAJEURE
SSCL will use its best endeavours to meet agreed timelines. We are not liable for delays caused by third-party contractors, suppliers, customer actions or inactions, or circumstances beyond our control.
Events such as strike, lock-out, fire, flood, extreme weather, civil unrest, or supplier failure shall be considered force majeure events.

DISPUTE RESOLUTION
In the event of a dispute, the customer and SSCL agree to first attempt resolution through good-faith negotiation.
If unresolved, the dispute may be referred to an independent mediator or adjudicator, as agreed, before litigation is considered.

INSURANCE & INDEMNITY
Customers are responsible for insuring the project site and materials stored on-site until completion and handover.
SSCL maintains public liability and employer’s liability insurance throughout the project duration.

HEALTH & SAFETY
Customers must ensure that the working environment is safe and compliant with relevant health and safety regulations.
SSCL reserves the right to halt work if conditions are unsafe or violate legal standards.

GDPR & PRIVACY
SSCL will handle all customer data in accordance with the UK GDPR and Data Protection Act 2018.
Personal and business information provided will be used solely for managing the project and communicating with the customer.
